A minority stake of OOO “Air gates of Northern capital” (the Manager of the airport “Pulkovo” ) with a volume of 1.01%, was sold to the former CEO of the company Sergey Emdin. About it writes Kommersant.
The transaction was closed on 21 October, said the source “Kommersant”. Previously, these shares were claimed by the co-owner of novaporta Roman Trotsenko, but, according to interlocutors “Kommersant” at the Smolny, the acquisition of Mr Trotsenko share in the consortium not approved by the creditors of SD. “Against transactions made with foreign credit organizations”,— says the source “b”.
According to Kommersant’s sources, familiar with the course of the transaction, Sergey Emdin in this case acts as “a kind of intermediate option” before the subsequent partial or full sale of shares of VTB (repossessed a 50.01%) in Pulkovo. Their plans for the end customer of VTB shares will not be made public.
SCD is wholly owned Cypriot Talitha Trading Ltd. The shareholders of SD began to change in the summer. In late July, the German shareholder — the international airport operator Fraport has agreed with sovereign Fund Qatar Qatar Investment Authority (QIA) for the sale of 10.5%, reducing the share to 25%. On September 1 it became known that from SCD also go the Greek family kopelousos (owned 7%) and Cyprus Koltseva Holdings Ltd. (7.5 per cent). Later, the government Commission on foreign investment approved the purchase of all three lobes in SD (only 24.9%) — German, Greek and Cypriot company Holding F3 (controlled by Qatar) for €239 million.
Then it became clear that in the framework of a deal to join Qatari investors in Pulkovo, VTB will sell of 1.01% Talitha Cyprus Harptree Holdings Ltd, 100% controlled by Roman Trotsenko, the owner of 50% of a large airport holding “Novaport”. At the end of September it became known that in addition to the already agreed on the purchase of shares of 24.99% of Qatar in the capital of SD is part of a consortium of the RDIF and middle Eastern funds. The share of new shareholders, including Qataris, RDIF, and other middle Eastern funds and Mr. Trotsenko, “will be more than 25%, but a little less than a controlling”.
Roman Trotsenko told “Kommersant” that the transaction on acquisition of 1.01% of shares in “Pulkovo” took place, but “in another form”. “We have the option to purchase this package (1.01 per cent, purchased by Mr. Eminem.— “B”) in the future. We just don’t have time to negotiate a deal with the Board of creditors,” he explained, adding that it plans to expand its presence in “Pulkovo” the “whenever possible”.
